hydra fund currently exists as a pre-incorporation concept and strategic vision. It is not an incorporated company, partnership, LLP, trust, or any other legally recognised entity under any jurisdiction, including the Companies Act, 2013 (India) or any equivalent statute elsewhere. No shares, units, securities, or financial instruments of any kind have been issued by hydra fund. Nothing on this website constitutes a public offering, a private placement, or an invitation to invest.
Not an Officially Incorporated Entity
hydra fund has not been incorporated under the Companies Act, 2013; the Limited Liability Partnership Act, 2008; the Indian Partnership Act, 1932; or any analogous legislation in any other country. The name "hydra fund" and associated branding represent a working concept under development. No formal corporate governance structure, board of directors, memorandum of association, or articles of association exist as of the date of this disclosure.
Incorporation is planned as a post-pre-seed milestone. The founders intend to establish an appropriate legal structure — which may include a private limited company in India and offshore fund vehicles — only after securing the minimum pre-seed capital required to support formation costs, legal compliance, and regulatory registration.
Important: Until formal incorporation occurs, hydra fund cannot enter into binding contracts in its own name, issue securities, accept capital subscriptions, or act as a regulated financial entity. Any engagement with the founders prior to incorporation is on a personal, preliminary basis only.
No SEBI Registration for Hedge Fund or AIF Operations
hydra fund does not hold any registration, licence, or authorisation from the Securities and Exchange Board of India (SEBI). In particular, it is not registered under the SEBI (Alternative Investment Funds) Regulations, 2012 as a Category I, II, or III AIF; it is not registered under the SEBI (Portfolio Managers) Regulations, 2020; and it has no authorisation to pool investor capital, provide investment advisory services, or manage discretionary or non-discretionary portfolios on behalf of any client in India.
Any references on this website to "hedge fund operations", "venture capital", "high-frequency trading", or "investment banking" describe the intended future activities of the fund once it is duly incorporated and holds all requisite regulatory approvals. These activities are not currently being conducted.
Under Indian law, soliciting investments from the public without SEBI registration is a criminal offence. hydra fund is not soliciting investments from any person through this website. The investment tiers and capital structures described on the Invest page are forward-looking illustrations of the intended fund architecture, not live or active offerings.
When pre-seed funding is secured and incorporation is completed, the company will pursue the appropriate SEBI registrations (likely Category III AIF for hedge fund strategies and Category I or II AIF for venture capital activities) and, where required, RBI approvals for cross-border capital flows before accepting any external capital.
Full Operations Are Contingent on Pre-Seed Investment
hydra fund can only become fully operational after securing pre-seed investment. This is not a stylistic caveat — it is a structural dependency. The pre-seed capital is required to fund:
- → Legal incorporation — company formation, constitutional documents, registered office, and initial compliance costs.
- → Regulatory filings — SEBI AIF registration fees, legal counsel for fund documents, compliance officer appointment, and KYC/AML infrastructure.
- → Technology infrastructure — algorithmic trading platforms, data feeds, execution systems, risk engines, and cloud infrastructure for AI-driven operations.
- → Core team — hiring of quantitative researchers, risk managers, compliance professionals, and operational staff.
- → Initial seed capital — minimum regulatory capital requirements for AIF registration and initial strategy deployment.
